CSA Cosmic announced in a regulatory filing on the 9th that it has decided to conduct a 15 billion won third-party allotment capital increase to secure operating funds.

This capital increase, which will issue 75 million new common shares (200 won per share), will be conducted via a third-party allotment method rather than being offered to existing shareholders.

The allottee is G&B Partnership, which is related to the largest shareholder. The company explained, "They were selected in consideration of the investor's ability to make payments and their investment intentions in order to achieve management objectives and secure swift funding."

The 15 billion won to be raised will be used entirely as operating funds, with plans to execute the full amount in 2026. The new share payment date is October 16, 2026, and the new shares are scheduled to be listed on the 30th of the same month. The newly issued shares will be held in escrow by the Korea Securities Depository for one year.

The new share issue price of 200 won was determined by applying an 8% discount rate to the base share price of 216.92 won (217 won in the filing) calculated based on the day prior to the board resolution. This reflects the past one-month weighted average share price of 284.87 won, the one-week weighted average share price of 241.16 won, and the most recent day's weighted average share price of 216.92 won.

Following this capital increase, the total number of issued shares will increase from the existing 106,638,983 shares to 181,638,983 shares.

Meanwhile, G&B Partnership is a fund consisting of two investors. The representative partner is Kim Young-chun, and the largest investor is IHQ Inc., which holds a 99.95% stake. As of the end of 2025, G&B Partnership's total assets stand at 6.813 billion won, and its total equity is 2.07 billion won.
