Organoid Sciences announced in a regulatory filing on the 2nd that it has signed a contract to acquire an exclusive license for technologies related to organoid-based regenerative therapeutics and drug screening platforms from the Korea Research Institute of Bioscience and Biotechnology (KRIBB). The total contract value is 7.57 billion KRW (7,570,000,000 won).
Through this contract, the company has gained the exclusive right to use the related patent technologies owned or applied for by KRIBB in domestic and international contract territories for the purposes of cell therapy, disease modeling, and drug evaluation. The contract was signed on June 2, 2026, and the contract period lasts until the latest expiration date of the surviving terms of the relevant patents.
The contract fee consists of an upfront payment, running royalties, and current technology royalties. The upfront payment will be paid within 30 days from the date of the contract. The running royalties include patent, clinical, and sales milestones based on the premise of direct commercialization for the purpose of regenerative therapeutics and disease modeling evaluation, and will be paid depending on the results of clinical trials or the generation of sales. The current technology royalties are structured to be paid from the generation of future sales until the expiration of the contract. The company did not disclose detailed financial conditions due to confidentiality clauses in the contract and business confidentiality reasons.
Organoid Sciences' consolidated equity at the end of 2025 is approximately 24.84 billion KRW. The company explained that the amount of this contract exceeds 10% of its equity.
However, this contract is a conditional agreement where the recognition of expenses may vary depending on the success of clinical trials and product approval. The company added that the contract may be terminated if a regulatory authority decides to halt research and development or if product approval fails.
