OCI Holdings announced in a regulatory filing on the 16th that it will transfer its 100% stake in subsidiary OCI Specialty Co., Ltd. to another subsidiary, OCI. OCI Specialty will no longer be a direct subsidiary of the holding company.

This transaction represents a governance restructuring through an intra-group share transfer among affiliates. All 150,602,520 shares (a 100% stake) of OCI Specialty held by OCI Holdings will be transferred to OCI. Accordingly, OCI Specialty will be converted from a direct subsidiary of OCI Holdings into a subsidiary of OCI, making it a grandchild company.

The transfer price for the stake amounts to 22.428 billion won, equivalent to 0.9% of OCI Holdings' total assets. Following the completion of the transaction, the stake will be removed from OCI Holdings' direct holdings, and the number of subsidiaries will decrease from eight to seven.

The board of directors passed the share transfer resolution on June 25, 2026, with the transaction closing and subsidiary withdrawal date set for July 16, 2026.
