Hanwha Solutions announced in a regulatory filing on the 20th that it has set the final issue price for new shares under its paid-in capital increase at 22,100 won per share of common stock. No preferred shares will be issued.
The final issue price was determined based on the lower of the first and second issue prices calculated in accordance with relevant regulations, while reflecting the minimum issue price standards stipulated under the Capital Markets Act and the 'Regulations on the Issuance and Disclosure of Securities.' The same final issue price will be applied to the general public subscription as well as to subscriptions by the employee stock ownership association and existing shareholders.
The specific calculation method is as follows. The first issue price was calculated by applying a 20% discount rate to the base stock price, which was determined based on the third trading day prior to June 16, 2026, the new share allocation reference date. The second issue price was derived by applying the same 20% discount rate to the base stock price, which was calculated based on the third trading day prior to July 22, 2026, the existing shareholders' subscription date.
The company explained that it set the final issue price based on the lower of the two prices as a general rule, but if the price fell below the minimum issue price stipulated by relevant laws, the applicable minimum standard was applied to finalize the issue price.
This filing was made as a follow-up procedure to the securities registration statement and investment prospectus submitted after the decision to proceed with the paid-in capital increase in March, with the purpose of confirming and announcing the final new share issue price.
