SK Inc. is proceeding with delisting procedures for its electric vehicle charger subsidiary SK Signet by acquiring an additional stake.

■ Key Details of the Public Tender Offer In a regulatory filing on the 24th, SK Inc. announced its plan to acquire 10,072,587 common shares of SK Signet through a public tender offer. The tender offer price is set at 8,200 won per share, with a total acquisition amount of approximately 82.595 billion won.

The tender offer will run from July 24 to August 24, 2026, with the scheduled settlement date on August 26. NH Investment & Securities is serving as the lead manager for the tender offer.

■ Achievement of 99.77% Stake and Acquisition Purpose If the transaction is completed as planned, SK Inc.'s total holdings in SK Signet will increase to 40,085,205 shares, bringing its stake to 99.77%. SK Inc. explicitly stated that the purpose of this tender offer is 'delisting.'

■ Calculation of Target Shares and Detailed Conditions According to the filing, the number of shares subject to the tender offer was calculated based on the common shares outstanding as of the board resolution date, excluding shares already held by SK Inc. and treasury shares, plus the number of common shares convertible from convertible preferred shares held by preferred share investors. However, the actual number of shares acquired may decrease depending on the subscription results of the tender offer.

Additionally, the company explained that the post-acquisition number of shares held and the ownership percentage were calculated reflecting the increase in the number of issued shares resulting from the conversion of preferred shares subject to the tender offer into common shares, and that the conversion of preferred shares held by the tender offeror (SK Inc.) was not assumed.

■ Board Approval Status The tender offer proposal was passed at the board meeting on July 23. All five independent directors as well as audit committee members attended the meeting that day.
