SK D&D will conduct a shareholder-allocated rights offering worth approximately 136.7 billion won to repay borrowings.

SK D&D announced through a regulatory filing on the 28th that it has decided to issue 44,681,000 common shares through a shareholder-allocated rights offering. The planned issue price is 3,060 won per share, and the planned amount to be raised is 136,723,860,000 won. The raised funds will be used entirely for debt repayment.

■ Key Schedule at a Glance The record date for the new share allocation is September 2, 2026. Existing shareholders will be allocated subscription rights for 2.4014179012 new shares per share. Subscription by existing shareholders will take place from October 12 to 13, 2026, with the payment date on October 15 and the scheduled listing date for new shares on October 28.

■ Issue Price Determination Process The planned issue price is 3,060 won, and the final issue price is scheduled to be confirmed on October 6, 2026. The company explained that the confirmed issue price will be determined based on the lower of the first-stage and second-stage issue prices in accordance with relevant regulations.

■ Subscription Rights and Subscription Conditions The subscription rights are transferable and will be listed on the Korea Exchange. The listing period for subscription right certificates is from September 21 to September 29, 2026. Existing shareholders may subscribe within the scope of their allocated subscription rights, and oversubscription is also permitted up to 20% of the allocated shares. Unsubscribed and fractional shares arising after subscription by existing shareholders and oversubscription will be treated as unissued.

■ Other Key Matters The lead manager is NH Investment & Securities, and this rights offering is subject to the filing of a securities registration statement. The short-selling restriction period is from July 29 to October 6, 2026.
