Dalba Global is acquiring a 33.61% stake in cosmetics manufacturing and retail company QuokkaSkin, embarking on a full-scale equity investment.
In a regulatory filing on the 29th, Dalba Global announced plans to acquire the QuokkaSkin stake for a total of 9,599,999,230 won (4.83% of its equity capital) by the 31st. Through this transaction, Dalba Global will secure a total of 3,547,176 shares of QuokkaSkin.

- The acquisition method is a cash purchase combining a third-party allotment capital increase (subscription for new shares) with the purchase of existing shares from current shareholders. The shares to be acquired consist of 2,602,318 Redeemable Convertible Preference Shares (RCPS) and 944,858 common shares. The detailed financing breakdown is as follows:
- New Share Subscription Amount: 7,890,410,959 won
- Existing Share Purchase Amount: 1,709,588,271 won

- The two companies have entered into various option agreements in preparation for potential future changes in the ownership structure.
- Dalba Global (Call Option): Dalba Global holds the right to acquire some or all of the remaining shares after three years from the issuance date of the Redeemable Convertible Preference Shares.
- Existing Shareholders and Founders (Put Option): They hold a put option to sell their shares to Dalba Global after the same point in time (issuance date + 3 years). However, exercise is restricted if revenue in the immediately preceding fiscal year decreases compared to 2026 or if an operating loss occurs.
- Founders (Additional Rights): Founders separately hold a call option to purchase some of the shares held by Dalba Global, as well as a stock exchange right to swap their shares for Dalba Global's treasury shares within a certain period.
Meanwhile, Dalba Global signed the contract following a board resolution on the 29th and plans to complete the share payment on the 31st.
