Eoflow announced on the 29th that it held a board of directors meeting and decided on a third-party allotment capital increase using in-kind contribution of patent rights.

260 Billion Won Scale… 4.33 Million New Common Shares to Be Issued

This capital increase will issue 4,333,333 new common shares at an issue price of 6,000 won per share. The total amount to be raised is 25,999,998,000 won. The in-kind contribution consists of patent rights held by IPV Co., Ltd., and Eoflow will issue the new shares in exchange for acquiring said patent rights.

However, these dates may be changed subject to the results of the court's review of the in-kind contribution and the schedule for patent right transfer registration.

External Valuation of 34.2 Billion Won → Finalized at 26 Billion Won

The patent rights to be acquired were valued at 34,225,832,319 won based on an external valuation firm. The company determined the final in-kind contribution value at 25,999,998,000 won, reflecting investment conditions and transaction terms.

The issue price of 6,000 won represents a discount of approximately 2.43% compared to the per-share valuation of 6,146 won calculated by the external appraisal firm, Ichon Accounting Corp. Eoflow explained that it conducted an external valuation because its share trading has been suspended since March 21, 2025, making it impossible to calculate based on market price.

Allottee IPV… Strengthening Commercialization Base Through Acquisition of Core Patent Rights

The third-party allottee is IPV Co., Ltd., a corporation that holds patent rights related to core technologies. Eoflow selected IPV in order to strengthen its technological competitiveness and secure intellectual property rights through the acquisition of core technology patents, including U.S. registered patents, thereby expanding the foundation for future commercialization.

The number of allotted shares is 4,333,333. The new shares issued through this capital increase constitute a third-party allotment capital increase accompanied by a change in the largest shareholder, and are therefore subject to mandatory holding (lock-up) for one year from the deposit date.
