Aniplus is set to acquire the remaining 31.13% stake in the animation-specialized OTT platform 'Laftel' for 37 billion won, making it a 100% wholly-owned subsidiary. With this acquisition, Aniplus plans to further strengthen its competitiveness in the animation business.

According to Aniplus's regulatory filing on the 30th, the company decided to acquire 62,250 shares of its subsidiary Laftel for 37 billion won. The scheduled acquisition date is August 10, 2026.

Once the transaction is completed, Aniplus's holdings in Laftel will increase from the current 137,750 shares (68.88% stake) to 200,000 shares (100% stake). The acquisition amount of 37 billion won represents 13.64% of Aniplus's consolidated total assets of 271.34 billion won and 28.87% of its equity capital of 128.15 billion won as of the end of 2025.

Funding and Counterparty Information The counterparty is KDE2 Investment LLC. The transaction amount is scheduled to be paid in full in cash on August 10, 2026, and the funds will be raised through existing cash reserves and additional financing if necessary.

Opinion of External Valuation Firm Lee Chon Accounting Corporation, an external valuation firm, applied the Discounted Cash Flow (DCF) method to appraise Laftel's stake value at a minimum of 34.84 billion won and a maximum of 39.88 billion won. Accordingly, the firm issued a fairness opinion, stating that there is no basis to deem the actual acquisition price of 37 billion won inappropriate from a materiality perspective.

Laftel's Recent Performance Laftel, which operates an animation-specialized OTT platform, recorded solid profitability with total assets of 24.04 billion won, revenue of 39.08 billion won, and net income of 4.24 billion won in 2025.
