Cosricarglobal has decided to acquire its own convertible bonds (CB) worth 35 billion won before maturity and cancel them in full.
According to a regulatory filing by Cosricarglobal on the 3rd, the acquisition target is the '4th Series Uninsured Private Placement Convertible Bonds (CB).' The acquisition face value amounts to 35 billion won, representing 70% of the total issuance (50 billion won).
The company decided on the early acquisition through consultation with bondholders via an over-the-counter purchase method, and plans to fully cancel the acquired bonds using its own funds.
The total acquisition amount, combining principal and interest, is 36,014,525,470 won. Of this, the actual amount paid to the seller, excluding withholding tax, is 35,791,326,037 won, with the scheduled payment date of August 3, 2026. The seller in this transaction is 'FINTEK CO., LIMITED,' the largest shareholder of the company's largest shareholder.
With this early acquisition, the outstanding face value of the convertible bonds will be reduced to 15 billion won.
According to the filing, the current conversion price of the convertible bonds is 4,565 won per share. Assuming all the acquired volume is converted based on the date of the sale decision, the number of common shares that can be issued is 7,667,031 shares, accounting for 30.69% of the total issued shares.
