Nature Cell announced that it has decided to grant 277,000 shares of common stock as stock options to 92 employees, as resolved at its board meeting on August 3, 2026.

The exercise price is set at 24,820 won per share, and the exercise period runs from February 14, 2031, to August 2, 2036. The grant will be executed through the issuance of new shares, the transfer of treasury shares, or a cash settlement method.

With this grant, Nature Cell's total outstanding balance of stock options will reach 601,260 shares of common stock.

The exercise conditions follow a phased escalation structure. Upon achieving the corporate and shareholder value enhancement targets set by the company, grantees may exercise 30% of the total exercisable quantity for one year starting from February 14, 2031, up to 60% for the following year, and up to 100% of their allotted options from February 14, 2033, through the expiration date.

The fair value was calculated at 13,017 won per share using the binomial model, an option pricing model. The closing price on the grant date was 22,000 won, reflecting an expected volatility of 44.85%, an expected option exercise period of 10 years, and a risk-free interest rate ranging from a minimum of 2.80% to a maximum of 4.67%, based on government bond forward rates.
