Hana Micron announced on the 5th that its subsidiary, Hana Materials, has decided to issue KRW 100 billion worth of private exchangeable bonds (EB). The raised funds are scheduled to be used for debt repayment of KRW 90 billion and operating funds of KRW 10 billion. The company explained, "These exchangeable bonds are issued with the registered common shares of Hana Micron held by the subsidiary Hana Materials as the exchange target." These exchangeable bonds carry zero-interest terms, with both the coupon rate and the maturity interest rate set at 0%. The payment date is September 14, 2026, and the maturity date is September 14, 2028. The structure is designed without an early redemption option (Put Option). The exchange price is set at KRW 34,388 per share, and the exchange target consists of 2,907,991 common shares of Hana Micron held by Hana Materials. The exchange request period runs from September 15, 2026, to August 14, 2028, and the exchange price may be adjusted in the event of certain circumstances such as paid-in capital increases, bonus issues, or stock splits. The bonds will be issued to Pipesolution No. 5 LLC through a domestic private placement.
