LiganCure Bio announced on the 7th via a regulatory filing that it has signed a contract with U.S. biotech company NextCure, Inc. to secure the exclusive development and third-party technology transfer rights for LNCB74 (B7H4-ADC), a joint development program.
According to the filing, the contract was executed on August 7, 2026 (Korean time), and the contract period extends until the expiration of the royalty term. Through this agreement, LiganCure Bio will fully secure the sole development and technology transfer rights for the pipeline.
The exact contract amount was not disclosed due to confidentiality clauses. However, the contract value consists of development, regulatory, and sales milestones as well as royalties, with a total scale equivalent to 10% or more of the company's equity based on the 2025 consolidated financial statements. For reference, the consolidated equity as of the end of 2025 stands at 541,120,311,269 won.
LiganCure Bio explained the background of the contract, stating that following a reverse merger transaction and a change in the corporate governance structure of its co-development partner NextCure, the joint development has been discontinued and the company has secured sole rights.
Additionally, the company emphasized that this contract is a conditional agreement premised on approval from pharmaceutical regulatory authorities. Revenue recognition may vary depending on the success of clinical trials and product approvals. If a regulatory authority halts research and development or product approval fails, the contract may be terminated, though there is no obligation to pay a penalty upon termination. The company also added that milestone payments at each stage may not be made depending on the progress and outcome of the project.
