POSCO Holdings will dispose of 36,434,963 common shares of POSCO International for approximately 2.0184 trillion won. The move aims to secure strategic investment funds to resolve the holding company discount and enhance corporate value.

On the 7th, POSCO Holdings announced that it held a board meeting and resolved to carry out the share disposal. The scheduled disposal date is September 7, 2026.

The disposal amount stands at 2,018,496,952,000 won, which accounts for 3.24% of POSCO Holdings' consolidated equity capital (62,377,691,037,383 won) as of the end of 2025.

Following this disposal, POSCO Holdings' holdings in POSCO International will decrease to 87,961,395 shares, but the stake will remain unchanged at 50.0%.

The company stated that the purpose of the disposal is to "secure strategic investment funds to resolve the holding company discount and enhance corporate value."

To ensure a smooth disposal, a Putable Return Swap (PRS) contract will also be executed. The underlying asset of the contract is the 36,434,963 common shares of POSCO International being disposed of this time, with a reference price of 55,400 won per share (based on the closing price on the day before the board meeting) and a contract period of three years. At the time of settlement, the difference between the actual sale proceeds (after deducting costs) and the reference price will be mutually settled.

The company explained that the scheduled disposal date was indicated based on the block trade settlement date for after-hours transactions, and if block trading becomes difficult due to future share price fluctuations, the transaction may be carried out through over-the-counter trading on the same settlement date.
