MX Robotics announced in a regulatory filing on the 7th that it has decided to conduct a third-party allotment capital increase of approximately KRW 10 billion, targeting its largest shareholder, MX On Co., Ltd., to raise operational funds.

The new shares to be issued through this capital increase amount to 3,289,473 common shares, with an issue price of KRW 3,040 per share. The total amount to be raised accordingly is KRW 9,999,997,920. The issue price was determined through consultation with the allotment target at a 0% discount rate based on the reference share price of KRW 3,036, and was finalized at KRW 3,040 following a rounding up to the nearest tick size of the reference share price.

All 3,289,473 newly issued shares will be allotted to the largest shareholder, MX On, and the new shares will be placed under lock-up for one year after issuance.

The raised funds will be used to secure investment capital for new businesses and project operational funds, as well as to improve the financial structure. The specific fund execution plan is divided into KRW 5 billion in 2026 and KRW 5 billion in 2027.

Meanwhile, the payment date for the shares is August 24, 2026, and the scheduled listing date for the new shares is September 7, 2026. The company added that as this securities issuance is conducted via private placement, it is exempt from filing a securities registration statement.
