Samyoung is substantially expanding its capacitor film production capacity in preparation for the growth of the electric vehicle and renewable energy markets. The company has decided to purchase land and buildings owned by Lotte Nestlé Korea in Cheongju, North Chungcheong Province, for 34.7 billion won.

According to Samyoung on the 10th, the company disclosed that it will acquire the land and buildings located at 1-8, Songjeong-dong, Heungdeok-gu, Cheongju-si, Chungcheongbuk-do, for 34.7 billion won. This amount equals 17.49% of the company's total assets (198.41869 billion won) based on the consolidated financial statements as of the end of 2025. The counterparty to the transaction is Lotte Nestlé Korea Co., Ltd.

Funding and Contract Schedule The transaction amount will be paid in cash. An initial down payment of 3.47 billion won will be made on the 10th, and the remaining balance of 31.23 billion won is scheduled to be paid in full on the 27th, which is the acquisition reference date and the scheduled registration date. The necessary funds will be raised through borrowings and the company's own funds. However, the disclosed acquisition amount of 34.7 billion won does not include ancillary acquisition costs such as value-added tax, taxes and public dues, and fees.

Purpose and Expected Effects of Asset Acquisition This site acquisition is a strategic move to respond to surging demand for capacitor films. Through this acquisition, Samyoung plans to secure production sites and factories to expand the production capacity of its flagship products and establish a production base for new growth drivers.

Furthermore, the company's strategy is to intensively expand its production, research, and logistics infrastructure to improve operational efficiency and responsiveness to customer demand, while laying a medium- to long-term growth foundation in line with the expansion of the power electronics market (electric vehicles, renewable energy, ESS, etc.).

Dowon Accounting Corporation, an external evaluation firm, offered an 'appropriate' opinion on the acquisition price of this asset. However, the company added, "The detailed schedule for the acquisition and the payment of the transaction amount may change subject to future consultations with the counterparty."
