Samsung SDI is terminating its joint investment agreement with General Motors (GM) and converting the existing joint venture into a wholly-owned subsidiary.
Samsung SDI announced on the 11th that it held a board meeting and passed a resolution to terminate the joint investment agreement for 'SDI-GM Synergy Cells Holdings LLC.,' a joint venture with GM. Through this stake acquisition, Samsung SDI will take full control of the existing joint venture.
Prior to the disclosure, the two companies' respective stake was 50.01% for Samsung SDI and 49.99% for GM. Samsung SDI plans to acquire the remaining 49.99% stake held by GM in its entirety, which will bring Samsung SDI's ownership to 100% upon completion.
The conversion to a wholly-owned subsidiary structure aims to secure greater business flexibility. Going forward, Samsung SDI intends to actively respond to market demand across various applications, including electric vehicle (EV) batteries and energy storage systems (ESS), based on its independent operating system.
Following the corporate restructuring, the previously established investment plan is also expected to be revised. However, the specific investment scale and timeline have not yet been finalized, and the company plans to transparently disclose relevant details in accordance with real-time disclosure regulations.
Meanwhile, as of the disclosure date, the cumulative amount invested by Samsung SDI in the joint venture stands at 2,752,839,918,580 KRW. This represents 1.2% of Samsung SDI's consolidated equity capital and 0.7% of its total consolidated assets.
The newly independent entity is tentatively scheduled to be renamed 'Samsung SDI Synergy Cells Holdings LLC.' However, as the local corporate name change procedure is currently underway, the final name may differ.
