EcoPro BM announced that it has set the first-stage issue price of new shares from its rights offering at 89,500 won per share.
According to the regulatory filing, the shares to be issued in this paid-in capital increase are 9,900,990 registered common shares with a par value of 500 won per share. The first-stage issue price calculation date is September 1, 2026.
■ Issue Price Calculation Method
The first-stage issue price was calculated by setting the base date as the third trading day before the new share allocation record date, and applying a 20% discount rate to the base price, which is the lower of either the arithmetic average of the following KOSDAQ-traded prices — the one-month volume-weighted average price, the one-week volume-weighted average price, and the base date closing price — or the base date closing price.
However, the price just determined is only the first-stage issue price, not the final issue price. The company will separately calculate a second-stage issue price using the third trading day before the existing shareholders' subscription date as the base date, and the final issue price is scheduled to be announced on October 13.
■ Principle for Determining the Final Issue Price
In principle, the final issue price is set at the lower of the first-stage and second-stage issue prices. However, if that price is lower than the price derived by applying a 40% discount rate to the volume-weighted average share price over the period from the third to the fifth trading day before the existing shareholders' subscription date, this 40% discounted price will be applied as the final issue price.
The same price as the final issue price applied to the employees' stock ownership association and existing shareholders' subscriptions will be applied to the public offering issue price.
Meanwhile, this paid-in capital increase follows the company's decision announced on June 30 to conduct a rights offering with a general public subscription for unsubscribed shares after the shareholder allocation.
