Qurient announced that it has decided on a paid-in capital increase totaling 101,600,100,000 won to raise operating funds.

■ Overview of the Capital Increase... Shareholder Allotment Followed by Public Offering of Unsubscribed Shares

The capital increase will be conducted through a shareholder allotment followed by a public offering of unsubscribed shares. Qurient plans to issue 7.1 million new common shares at an expected issue price of 14,310 won per share. The final issue price is scheduled to be determined on November 20. The funds raised through this paid-in capital increase will be used entirely as operating funds.

Prior to the capital increase, the total number of issued shares consists of 37,534,151 common shares and 483,654 other shares. The capital increase ratio disclosed in the regulatory filing is 18.68%, with 0.1867810868 new shares allocated per existing share held. However, the allocation ratio may change depending on the exercise of conversion rights and stock acquisition rights, as well as changes in treasury shares.

■ Key Schedule

The reference date for the new share allocation is October 13. Existing shareholders may subscribe from November 25 to 26. Afterwards, a public offering subscription for unsubscribed shares arising from the existing shareholders' subscription and oversubscription will take place from November 30 to December 1. The payment date is December 3, and the new shares are scheduled to be listed on December 17.

The stock acquisition rights certificates are scheduled to be listed on the Korea Exchange, with a scheduled listing period of five business days from November 10 to 16.

■ Issue Price Determination and Lead Managers

Qurient will apply a 25% discount rate in determining the issue price. The final issue price will be determined by reflecting the first and second issue prices in accordance with the calculation method presented in the regulatory filing. The lead managers for this paid-in capital increase are Yuanta Securities and Korea Investment & Securities.

Additionally, the company stated that the plan for this paid-in capital increase may be subject to change during the adjustment process with relevant authorities or the review process of the securities registration statement.
