Silicon II announced through a regulatory filing that it has decided to acquire land and buildings worth 55.0341 billion won in order to expand its logistics processing capacity and secure operational efficiency.

■ Transaction Overview According to the filing, the acquisition amount of 55.0341 billion won is the contract price stated in the sales agreement, excluding taxes and incidental expenses. This is equivalent to 7.76% of the company's total assets of 709.448347720 billion won based on the consolidated financial statements as of the end of the most recent fiscal year, December 31, 2025.

■ Acquisition Details The properties to be acquired are land and buildings located in Deokseong-ri, Idong-eup, Cheoin-gu, Yongin-si, Gyeonggi Province. The contract area covers 10,270 square meters of land and 43,971.60 square meters of buildings, and the counterparty to the transaction is Hana Asset Trust Co., Ltd.

■ Purpose of Acquisition Silicon II cited the need to expand logistics processing capacity, operational efficiency from owning the property, and the potential for future appreciation in asset value as the purposes of the acquisition.

■ Payment Schedule The payment will be divided into a down payment of 5.50341 billion won and a balance of 49.53069 billion won. The down payment is to be paid on September 9, the date of the board resolution, while the balance is due on November 8. The scheduled acquisition date of November 8 is also the final deadline for the balance payment. The company noted that the schedule and payment details may change subject to negotiations with the counterparty.
