Hanwha Solutions' U.S. subsidiary, HANWHA Q CELLS USA, Inc., has announced that it decided on a paid-in capital increase worth approximately 405.8 billion won. The capital increase will be carried out through a rights offering to existing shareholders, and the funds raised will be used as operating capital.

According to the regulatory filing, the amount of operating capital to be raised is 405.78 billion won (405,780,480,000 won). The actual capital increase amount is USD 298,368,000, converted into Korean won at the rate of 1,360 won per dollar, the Seoul Foreign Exchange Brokerage median rate posted on September 29, 2026. The won-denominated amount may fluctuate depending on the exchange rate.

The paid-in capital increase amount equals 2.5% or more of Hanwha Solutions' equity capital of 12.3488 trillion won, which reflects its paid-in capital increase completed in July 2026 on top of its end-2025 equity.

■ Schedule and Filing Date All Set for September 29... Securities Registration Exempt The record date for new shares, the payment date, and the board resolution date are all September 29, 2026, based on U.S. Eastern Standard Time.

As no new shares will be issued in this capital increase, the number of shares, issue price, and method of calculating the issue price were not stated in the filing. It is not subject to securities registration statement filing requirements. The company cited as reasons for the exemption that the offering does not constitute a public offering and that the subsidiary is an unlisted foreign corporation.

HANWHA Q CELLS USA is a U.S. subsidiary of Hanwha Q CELLS Americas Holdings Corp., which is 100% owned by Hanwha Solutions. It is a key subsidiary whose main business is manufacturing solar products, with total assets of 6.5639 trillion won (6,563,995,018,331 won) as of the end of December 2025. This accounts for 19.80% of the controlling company's consolidated total assets of 33.1444 trillion won.
