Woori Technology has decided to acquire, before maturity, its 17th series of unregistered, warrant-attached, unsecured private convertible bonds worth 3.5 billion won.

According to Woori Technology's disclosure on the 'Decision to Acquire Its Own Convertible Bonds Before Maturity,' the face value of the bonds subject to acquisition is 3.5 billion won, and the actual acquisition amount, including principal and interest, is 3,651,595,500 won. Both the acquisition decision date and the scheduled payment date are September 30, 2026, and the acquisition will be funded with the company's own capital.

■ Over-the-Counter Purchase Following Call Option Exercise

This acquisition follows the exercise of a put option (call option) and will be conducted through an over-the-counter purchase. The acquisition amount was calculated by applying the yield rate of 104.3313%, as stipulated in the agreement on the call option, to the face value of the bonds.

The convertible bonds were issued on April 30, 2025, with a maturity date of April 30, 2030. The total face value at the time of issuance was 5 billion won. Woori Technology plans to cancel the registration of the acquired bonds as registered securities with the Korea Securities Depository.

■ Conversion Price of 1,965 Won per Share... 500 Million Won in Remaining Bonds

As of the reporting date, the conversion price is 1,965 won per share. Based on the bonds subject to acquisition, the shares issuable upon conversion are 1,781,170 common registered shares of Woori Technology, accounting for 1.03% of total shares outstanding. The conversion claim period runs from April 30, 2026 to March 30, 2030.

After this acquisition, the remaining face value of the bonds will be 500 million won. The seller is Mothighield General Private Investment Trust No. 1, and the face value of the bonds sold is 3.5 billion won.
