SKC announced in separate corrected disclosures on the 8th that it has completed the acquisition of 300 billion won worth of preferred shares in its Malaysian affiliate through a subsidiary, and has partially changed the schedule for its 272.4 billion won debt guarantee to Absolics Inc.

■ SK Nexilis Completes 300 Billion Won Acquisition of RCPS in Malaysian Affiliate

According to the disclosure, SKC's subsidiary SK Nexilis acquired 10,352,990 redeemable convertible preferred shares (RCPS) of its Malaysian affiliate NEXILIS MANAGEMENT MALAYSIA SDN. BHD. for 300 billion won. This is equivalent to 4.45% of SKC's consolidated total assets of 6.74049964 trillion won.

The correction reflects the completion of the acquisition, with the acquisition date moved up to October 8, earlier than the originally scheduled November 16. The acquisition was made in cash, and the disclosed purpose is efficient management of the equity structure.

SK Nexilis already held 100% of the common shares of the Malaysian affiliate, and this time purchased the RCPS from an existing investor. Following the acquisition, it owns 22,558,306 shares, representing a 100% stake.

■ Schedule Adjusted for 272.4 Billion Won Debt Guarantee to Absolics with Extended Maturity

SKC partially changed the guarantee schedule related to its 272.43024 billion won debt guarantee for its subsidiary Absolics. The guaranteed amount equals 8.50% of its equity capital of 3.20676872 trillion won, and the borrower's loan amount is 240.8682 billion won.

The debt guarantee is a decision to extend the maturity of three existing guarantees related to Absolics' existing borrowings. The creditors are overseas branches of the Industrial Bank of Korea, Shinhan Bank, and KB Kookmin Bank, and the total guaranteed amount is 196.8 million US dollars. Including this amount, SKC's total outstanding debt guarantee balance is 307.03774 billion won.

Specifically, the guarantee period related to the Industrial Bank of Korea was changed from October 13, 2026 to October 12, 2027, to October 8, 2026 to October 8, 2027. The period related to Shinhan Bank was also adjusted from October 6, 2026 to October 5, 2027, to October 5, 2026 to October 4, 2027. SKC stated that the schedule changes were made in consideration of domestic and international public holiday schedules.
