Hanwha Systems will sell its entire stake in Hanwha Ocean. The transaction is valued at approximately 1.3834 trillion won, and following the sale, Hanwha Systems' ownership in Hanwha Ocean will fall to 0%.

Hanwha Systems announced in a regulatory filing on the 16th that it agreed to transfer 22,169,660 common shares of affiliate Hanwha Ocean for 1,383,386,784,000 won. Based on the consolidated financial statements at the end of 2025, this amounts to 13.4% of total assets and 27.66% of equity capital. The company cited securing liquidity and funding for strategic investments as the purpose of the sale.

The transaction will be carried out on the 19th through an after-hours bulk trade (block deal), with the payment to be made in cash. The settlement date is the 21st.

The acquirers are seven entities, including Kiwoom Securities. Of these, Kiwoom Securities will acquire 8,160,853 shares for 509,237,227,200 won, and New Star Neptune No. 1 will acquire 4,452,062 shares for 277,886,688,800 won. New Star Neptune No. 2, New Star Neptune No. 3, K-ON No. 12, K-Prime No. 6, and Shinhan Crest No. 3 will also participate as acquirers.

In connection with the transaction, Hanwha Systems also entered into price return swap (PRS) contracts with the acquirers. The underlying asset is 22,169,660 common shares of Hanwha Ocean, and the reference price is the October 15 closing price of 62,400 won per share. The PRS contract period is one year, with settlement based on the difference between the sale benchmark amount and the settlement benchmark amount when the buyers sell the shares.

The sale price was calculated based on the closing price on the Korea Exchange's regular market on the 15th, the day before the board resolution. Hanwha Systems explained that no separate external valuation was conducted because the shares being transferred are traded on the securities market and were sold at a corresponding price.

The share transfer was approved at the board meeting on the 16th, with related details delegated to the CEO.
