Ripple-Backed Evernorth Registers 11.5 Million XRPN Shares with SEC — Securing Funds for Additional XRP Purchases?

Evernorth Holdings, which is backed by Ripple, has filed a securities registration for the sale of approximately 11.5 million XRPN shares amid moves to expand its XRP holdings. Market attention is focused on whether this registration will lead to additional XRP purchases.

■ 11,499,992 shares registered with SEC — "To be sold upon exercise of public warrants"

According to overseas crypto media outlet CoinGape, Evernorth registered 11,499,992 shares of Class A common stock that can be sold upon the exercise of public warrants in documents filed with the U.S. Securities and Exchange Commission (SEC) in October (local time). The company has also stated that it plans to sell additional shares in order to increase its XRP holdings.

■ Share price of $15.45 vs. exercise price of $11.50 — "A profitable range"

CoinGape pointed to the difference between the XRPN share price and the warrant exercise price as the key point of the securities registration. According to the documents filed with the SEC, the exercise price of the public warrants is $11.50 per XRPN share. As of October 16 (local time), the prices stated in the securities registration were $15.45 for XRPN stock and $4.16 for XRPN warrants.

CoinGape explained that because XRPN shares are trading above the warrant exercise price, the warrants are in a profitable range. Depending on market conditions and exercise terms, warrant holders may choose to pay cash and acquire shares.

■ "Not an actual new issuance" — Fundraising depends on the scale of exercises

However, this registration does not mean that 11.5 million XRPN shares have actually been newly issued. According to CoinGape, the actual number of shares issued will depend on the scale at which warrant holders exercise their rights. If holders pay $11.50 per share in cash to exercise their warrants, Evernorth can secure those funds.

Meanwhile, Evernorth stated that it will not receive proceeds from the sale of the shares included in the securities registration itself.

■ XRP-centered asset strategy — "Positive news during a price correction period"

Evernorth has recently been pursuing an asset holding strategy centered on XRP. The company has announced plans to sell more shares to purchase additional XRP. CoinGape reported that these moves are being received as positive news for XRP, which is currently in a price correction period.

However, the securities registration alone does not confirm whether Evernorth has actually purchased additional XRP. There is also no explicit statement that funds secured through warrant exercises will be used for XRP purchases. CoinGape explained that if warrant holders pay cash to exercise their rights and Evernorth decides to use those funds to buy XRP, it could serve as a means of securing additional capital.

■ Potential dilution of existing shareholders' stakes also noted

In connection with this share registration, the potential dilution of existing shareholders' stakes is also drawing attention. According to CoinGape, if warrant holders exercise their rights and receive additional Evernorth shares, the total number of XRPN shares issued in the market could increase. In that case, even if existing shareholders maintain the same number of shares, their percentage of ownership in the company would decrease.

CoinGape pointed out that the key issue for XRP investors is how much Evernorth can actually grow its XRP holdings through future capital raising. The registration has opened the possibility of securing funds through warrant exercises, but whether fundraising actually takes place and whether XRP is purchased with the funds both depend on Evernorth's future decisions.
