RFTEC announced in a regulatory filing on the 21st that it has decided to conduct a third-party placement capital increase worth approximately 9 billion won to secure operating funds.

According to the filing, the new shares to be issued through the capital increase total 1,470,057 common shares, with the new share issue price set at 6,120 won per share. The total amount to be raised is 8,999,992,440 won, all of which will be used for operating funds. The issue price was calculated by applying a 5% discount to the base share price of 6,440 won, and the total number of shares issued before the capital increase is 9,048,223 common shares.

The third-party placement recipients are Osung Advanced Materials, the largest shareholder, and Nadia New Technology Partnership No. 68, a related party of the largest shareholder. A total of 1,143,790 shares will be allocated to Osung Advanced Materials and 326,797 shares to Nadia New Technology Partnership No. 68.

RFTEC plans to use the funds raised through this capital increase as operating capital needed for company management, including raw material costs. The planned usage by year is 5 billion won in 2026 and 4 billion won in 2027.

The scheduled payment date for the new shares is November 12, 2026, and the scheduled listing date for the new shares is December 7 of the same year. The new shares to be issued through this capital increase will be entirely placed under a one-year lockup with the Korea Securities Depository. The company stated that the schedule related to the capital increase may change depending on consultations with relevant institutions.
