Yookil C&S announced in a regulatory filing on the 21st that it has decided to acquire land and buildings worth 25 billion won for the purpose of pursuing new businesses and purchasing real estate for investment purposes.

According to the filing, the assets to be acquired are 4,818.30 square meters of land and a 6,072.78-square-meter building located in Songdo-dong, Yeonsu-gu, Incheon. The counterparty is Onhill Co., Ltd., a company whose main business is the sale, manufacturing, and distribution of pharmaceuticals and veterinary drugs. According to the filing, the company has no relationship with Yookil C&S.

The acquisition price is 25 billion won, which amounts to 44.64% of the company's total assets of 56,087,810,596 won based on the consolidated financial statements at the end of the most recent fiscal year. This amount excludes value-added tax, taxes and public dues, fees, and other incidental expenses.

As for the schedule, the contract will be signed on October 21, 2026, with the acquisition reference date and registration date both set for November 30 of the same year. The purchase price will be paid in cash, with a down payment of 5 billion won due on October 21 and the remaining balance of 20 billion won due on November 30. Yookil C&S stated that it plans to fund the purchase price through cash on hand and borrowings from financial institutions.

Regarding this asset acquisition, Hyundai Accounting Firm conducted an external valuation from October 15 to 21 and issued an opinion of 'appropriate.' The company cited the enhancement of mid- to long-term asset value as the effect of the acquisition.

However, since the acquisition reference date and registration date were prepared based on the balance payment date, they may be changed depending on negotiations with the counterparty or the progress of the acquisition. The company also stated that the acquisition schedule and payment terms may also be changed through negotiations with the counterparty.
