Lotte Holdings has decided to provide a capital replenishment agreement worth 282.5 billion won to its subsidiary Lotte Biologics. Lotte Holdings announced the decision in a regulatory filing on the 22nd.

The agreement stipulates that Lotte Holdings will replenish funds if Lotte Biologics lacks the resources to repay debts under loan contracts signed with financial institutions. The agreement covers not only the loan principal of 282.5 billion won but also interest, fees, and other financial costs — the entire debt under Lotte Biologics' loan contracts.

In terms of scale, the loan principal equals 3.00% of Lotte Holdings' equity capital of 9,421,639,933,465 won as of the end of 2025 on a consolidated financial statement basis.

The counterparties include HSBC and other financial institutions. The obligation period for the capital replenishment runs from the date of the agreement until Lotte Biologics completes repayment of its debts under the loan contracts, with the scheduled period spanning from October 2026 to November 2029. Lotte Biologics plans to borrow funds from HSBC and other financial institutions between late October and December 2026.

The disclosed amount of the capital replenishment agreement is the sum of the total scheduled loan contract amounts that may arise during the period. Lotte Holdings stated that the amount and duration of the capital replenishment agreement may be partially changed depending on the terms and conditions of individual loan contracts.

Meanwhile, the decision date for the capital replenishment agreement was October 22, and four independent (outside) directors attended the deliberation, with no absences.
