Korea Zinc will once again pursue a stock split in order to expand the number of listed shares and enhance shareholder value.
Korea Zinc announced on the 4th, through a disclosure on major management matters related to investment decisions, that it plans to newly submit a stock split agenda and a related amendment to its articles of incorporation at the 2027 annual general shareholders' meeting. The stock split being pursued this time is identical to the previously proposed plan.
Korea Zinc previously received approval for the articles of incorporation amendment related to the stock split at an extraordinary general shareholders' meeting held on January 23, 2025. However, as litigation over the resolution of that shareholders' meeting continues, the change-of-listing procedure has been suspended. Accordingly, the company decided to separately submit a new stock split agenda at the 2027 annual general shareholders' meeting, independent of the existing extraordinary shareholders' meeting resolution.
The company explained that the new resolution would not be subject to the ongoing lawsuit. It also stated that if the agenda is lawfully resolved, the stock split-related portion of the existing main lawsuit may lose its legal interest.
However, details including the value per share under the stock split, as well as the specific schedule and procedures, may change depending on the results of consultations with relevant authorities. Korea Zinc plans to make an additional disclosure once related matters are finalized.
Meanwhile, this decision was made at the board of directors meeting on November 4. Thirteen independent (outside) directors attended the meeting, with no absences.
