Samsung Bioepis has signed a research, development, and commercialization agreement with Intusell for the antibody-drug conjugate (ADC) new drug candidate 'SBE303.' SBE303 is a candidate for the treatment of solid tumors targeting the Nectin-4 protein and is currently undergoing a global Phase 1 clinical trial under clinical trial registration number NCT07524348, with the study being conducted on 149 solid tumor patients.

Samsung Epis Holdings announced on the 22nd that its subsidiary Samsung Bioepis signed the agreement with Intusell. The contract date is the same day. This agreement is a follow-up to the 'joint research agreement for the discovery of up to five ADC new drug candidates' signed by the two companies in December 2023, with the aim of securing the rights to SBE303, a compound derived through joint research, and pursuing subsequent development and commercialization.

SBE303 is a compound jointly developed utilizing Intusell's proprietary OHPAS linker technology, among others. The contract period runs from July 22, 2026, through the end of the country-by-country royalty payment period.

The agreement includes amounts already paid in connection with the initiation of the Phase 1 clinical trial, as well as provisions for development milestones tied to future clinical progress and product approvals, sales milestones, and royalties linked to revenue. However, the total contract value and detailed terms were not disclosed by mutual agreement of the two companies, and they agreed to keep them confidential until July 2, 2046, citing business confidentiality.

Samsung Bioepis stated that the contract amount is equal to or greater than the smaller of 2.5% of total equity of 2,230,386,0648 won or 2.5% of revenue of 1,671,965,484,020 won based on the 2025 consolidated financial statements.

On the same day, Intusel separately announced that it had signed an ADC platform technology transfer agreement with Samsung Bioepis for SBE303. Intusell explained that this agreement grants commercialization rights for its OHPAS linker technology and is structured to receive development and sales milestones as well as revenue-linked royalties. The contract amount is undisclosed and is equal to or greater than the smaller of 10% of total equity of 24,749,293,457 won or 10% of revenue of 2,299,122,477 won based on the 2025 financial statements.

Both companies stated in their filings that this is a conditional agreement, meaning that expense or revenue recognition may vary depending on the success of clinical trials and product approvals, and that the contract may be terminated if regulatory authorities halt research and development or if product approval fails.
