Motrex EFM, a subsidiary of Motrex, will conduct a shareholder-allocated paid-in capital increase worth approximately 145.2 billion won to raise funds for the acquisition of Duol shares.

Motrex announced on the 30th through a disclosure on major management matters of its subsidiary that Motrex EFM has decided to implement a paid-in capital increase by issuing 6,113 shares of common stock.

The raised funds will be used entirely for the acquisition of another company's securities. The company plans to use these funds to pay for the acquisition of Duol shares in accordance with the share purchase agreement signed on April 30, 2026.

Both the subscription and payment will take place on July 30, 2026. Of the new share issue proceeds, 4,988,035,710 won will be paid by offsetting the loan receivable held by Mobilis against the share payment obligation, and the remaining 140,211,308,553 won will be paid in cash.

Motrex EFM's core business is the manufacturing and sale of automotive interior materials, and its total assets of 84,788,510,000 won account for 9.17% of Motrex's consolidated total assets.
