Seongwon EnerTech has fully withdrawn three third-party allocation capital increases it had been pursuing, following the commencement of rehabilitation proceedings.
According to a regulatory filing on the 4th, Seongwon EnerTech corrected two previously disclosed capital increase decisions on the same day and announced the withdrawal through a separate disclosure on other major management matters. A total of three cases were withdrawn.
- February 27, 2026 Board Resolution — Small-scale public offering third-party allocation capital increase: 1,377,410 common shares to be issued, with KRW 999,996,600 in planned proceeds.
- March 3, 2026 Board Resolution — 8,600,000 common shares to be issued, with KRW 6,243,600,000 in planned proceeds.
- March 15, 2026 Board Resolution — 4,000,000 common shares to be issued, with KRW 5,500,000,000 in planned proceeds.
All three cases had a scheduled payment date of August 11, 2026, and the funds were intended for operational purposes.
The company cited the status of its rehabilitation proceedings as the reason for the withdrawal. Seongwon EnerTech applied for the commencement of rehabilitation proceedings on April 14, 2026, received an asset preservation order and a comprehensive prohibition order on April 16, and was formally placed into rehabilitation proceedings on May 8.
The company explained that the capital increases were withdrawn because, under Article 55, Paragraph 1 of the Debtor Rehabilitation and Bankruptcy Act, the issuance of new shares, issuance of corporate bonds, and increases in capital and investment amounts are prohibited from the commencement of rehabilitation proceedings until their conclusion.
Accordingly, the company amended the major事项 reports (capital increase decisions) submitted on February 27 and March 3, entirely deleting the relevant content, and explicitly stated the reason for withdrawal due to rehabilitation proceedings in the correction filings.
