Nchem announced in a regulatory filing on the 5th that it has lowered the conversion price of its 15th series convertible bonds (CB) from the previous 72,686 won to 50,900 won.
This adjustment follows a recent decline in the market price, and as a result, the number of convertible shares also increased from the previous 257,271 shares to 367,387 shares. The total face value of the currently outstanding convertible bonds is 18.7 billion won (18,700,000,000 won).
The company designated August 5, 2026, which marks seven months after the issuance of the convertible bonds, as the conversion price adjustment date. Calculated based on the weighted average stock prices over the recent one-month and one-week periods, as well as the most recent day's weighted average stock price, the conversion price was ultimately set at 50,900 won, which is the minimum adjustment price stipulated in the contract.
The adjusted conversion price will be fully applied starting from August 5, 2026. This adjustment was carried out as a procedure in accordance with the original bond issuance terms, and therefore did not require a separate board resolution.
