SKC announced on the 22nd that it has signed an 850 billion won liquidity supplement agreement related to a securitization loan to be raised by a special purpose company (SPC) that acquired hybrid securities issued by SK Nexilis.

The agreement amount covers the principal and interest of an 850 billion won securitization loan based on SK Nexilis hybrid securities as underlying assets. The company's reported equity capital is 3,206,768,722,490 won, meaning the agreement amount equals 26.51% of equity capital.

Under the agreement, if the SPC experiences a funding shortfall and requests a liquidity supplement from SKC, SKC may choose whether to fulfill the request. If it chooses to do so, the structure allows SKC to lend the shortfall amount to the SPC within the scope of the liquidity supplement.

The SPCs subject to the liquidity supplement are six companies in total: Next Society No. 1, No. 2, No. 3, No. 4, No. 5, and No. 6.

The period for fulfilling the liquidity supplement obligation runs from the date of the agreement until the full repayment of the securitization loan. During the obligation period, SKC expects to receive fees and other compensation from the SPC based on fair value assessment.

Meanwhile, detailed terms related to the signing of other liquidity supplement agreements were delegated to the CEO. The decision was made at the board meeting on the 22nd, attended by four outside directors with no absences.

The equity capital stated in the disclosure reflects changes from a paid-in capital increase based on the consolidated financial statements as of the end of 2025. SKC stated that it plans to re-disclose if any changes occur going forward.
