AgentAI announced on the 26th that it has decided on a third-party allotment capital increase worth approximately 7 billion won to raise operating funds.

According to the regulatory filing, the new shares to be issued through this capital increase are 3,426,334 common shares, with an issue price of 2,043 won per share. The total amount to be raised is 7,000,360,036 won, and the total number of issued shares before the capital increase is 6,543,786 common shares.

The third-party allotment recipient is Prime Value Investment Partnership, AgentAI's largest shareholder, which will receive all 3,426,334 new shares. The company stated that it selected the allotment recipient in consideration of the investor's intentions and timing, in order to achieve management objectives and secure funding promptly.

The raised funds are expected to be used for renewable energy development project costs and general operating funds. The annual usage plan is 5 billion won in 2026 and 2 billion won in 2027, and the filing also states improving the financial structure as a purpose of the third-party allotment capital increase.

The new share issue price was calculated by applying a 10% discount rate to the base share price of 2,270 won. The payment date is November 26, 2026, and the new shares are scheduled to be listed on December 17 of the same year. All shares issued through this capital increase are subject to a one-year mandatory holding period.

Meanwhile, the largest contributor to Prime Value Investment Partnership is YB Bus, which holds a 65% stake. AgentAI stated that the schedule related to this capital increase may change depending on consultations with the relevant institutions.
