JW Pharmaceutical will acquire a 100% stake in its affiliate Solidus Investment, aiming to accelerate open innovation and secure new growth drivers.

JW Pharmaceutical announced in a regulatory filing on the 29th that it has decided to acquire 2 million shares of its affiliate Solidus Investment. The acquisition amount is 30.728 billion won, and the transaction will be made in cash. Following the acquisition, JW Pharmaceutical will hold a total of 2 million shares of Solidus Investment, representing a 100% stake. The scheduled acquisition date is September 29, 2026.

In terms of scale, the acquisition price equals 8.32% of JW Pharmaceutical's equity capital of 369.36959885 billion won and 5.08% of its total assets at the end of the most recent fiscal year.

Solidus Investment, the acquisition target, is a domestic company primarily engaged in other financial investment businesses, with capital of 10 billion won. In terms of financial performance, it recorded revenue of approximately 718.796 million won and net income of approximately 117.833 million won in 2025. During the same period, its total assets amounted to approximately 3.50987 billion won, with total liabilities of approximately 600.51 million won.

Meanwhile, JW Pharmaceutical stated that it has not entered into any separate contracts, such as put options, related to this acquisition. However, it noted that the disclosed schedule and details may change depending on relevant authorities and internal circumstances.
