Alteogen will raise a total of 1 trillion won through third-party placement paid-in capital increases and invest the funds in the construction of new biopharmaceutical production facilities and other purposes.

Alteogen announced in a regulatory filing on the 6th that it had decided on two third-party placement paid-in capital increases.

■ 50 Billion Won in RCPS Allocated to SkyALT LLC

In the first capital increase, the company selected SkyALT LLC as the third-party allocatee and will allocate 174,066 registered redeemable convertible preferred shares (RCPS). The issue price is 287,246 won per share, bringing the total raised to approximately 50 billion won. Of this, 12.5 billion won will be used for facility funds and about 37.5 billion won for operating funds. The fund usage plan stated in the filing includes investing 12.5 billion won in the construction of a new biopharmaceutical production facility.

The conversion ratio of the RCPS is 100%, with an initial conversion price of 287,246 won per share. Upon conversion, up to 174,066 common shares can be issued, representing 0.25% of total shares outstanding. The conversion claim period runs from October 31, 2027, to September 30, 2031, and shareholders may request redemption from October 31, 2029—three years after the issuance date—through September 30, 2031.

■ Separate CPS Issuance Also Worth 50 Billion Won

Alteogen also decided on a separate third-party placement paid-in capital increase to issue 191,473 registered convertible preferred shares (CPS). The issue price is 261,133 won per share, raising approximately 50 billion won, which will be used for 12.5 billion won in facility funds and about 37.5 billion won in operating funds.

The conversion ratio of the CPS is 100%, with an initial conversion price of 261,133 won per share. Upon conversion, up to 191,473 common shares can be issued, representing 0.27% of total shares outstanding, and the lowest adjusted conversion price disclosed is 235,020 won.

The separately submitted CPS issuance also comprises 191,473 shares at an issue price of 261,133 won per share. The conversion claim period for this issuance is stated as October 15, 2027, through September 15, 2031.

■ Private Placement… One-Year Mandatory Holding Period

According to the filing, both capital increases will be conducted through third-party placement, with the exemption from filing a securities registration report based on a one-year mandatory holding period for private placements. The payment dates and new share terms stated in each filing apply to the respective capital increase cases.
