Rokit Healthcare announced in a regulatory filing on the 28th that it has voluntarily withdrawn its plan to list its subsidiary ROKIT AMERICA, INC. (Rokit America) on the U.S. Nasdaq Global Market.

This filing is a correction report to the previous disclosure regarding the decision to list shares on an overseas securities market, with the reason for correction stated as "withdrawal of listing." Accordingly, all related items included in the previous filing—such as the number of shares to be listed, total issued shares, public offering method, listing securities, offering size, and expected market capitalization—have been deleted.

Background and Timing of the Listing Effort and Withdrawal

Rokit America had pursued the listing on the Nasdaq Global Market through a board resolution dated April 15, 2026, and submitted the relevant listing application. Subsequently, on July 27, 2026 (U.S. Eastern Time), the company received an official notification from Nasdaq that the listing application had been voluntarily withdrawn.

Rokit Healthcare explained that Nasdaq also notified the company that this action does not restrict future listing applications. The listing process that was underway has been concluded with this withdrawal.

Reason for Withdrawal: "Public Float Ratio of Approximately 10%… Concerns Over Stock Price Volatility"

The company provided specific details regarding the background of the voluntary withdrawal. It stated that it received feedback from Nasdaq indicating that the expected public float ratio upon listing would be approximately 10%, and that this could lead to increased stock price volatility following the listing.

Rokit Healthcare stated that, reflecting this, it voluntarily withdrew the existing listing application in order to carefully review and formulate measures to increase the public float ratio.
