HLB Innovation announced on the 4th that it has completed both the acquisition of 34,227,742 common shares of HLB Cell and the payment of the consideration. The acquisition price is 36,247,178,778 won, and the acquired stake represents 99.3% of the shares.

The transaction was carried out in accordance with the major matter report (decision to acquire shares and investment securities of another corporation) filed on August 26. The transferor is HLB Life Science, and the transferee is HLB Innovation.

The payment was made in cash in two installments. HLB Innovation first paid a down payment of 1 billion won on August 26, and paid the remaining balance of 35,247,178,778 won on this day. The share receipt date and transaction closing date are September 4, with which the share acquisition was finalized.

Changes in Financial Position

According to the summary financial information before and after the asset acquisition presented in the report, total assets will increase by 4,626,895,094 won, from 268,750,045,052 won to 273,376,940,146 won. Total liabilities will also increase by the same amount to 52,056,683,194 won, while total equity remains unchanged at 221,320,256,952 won.

However, the company also noted caveats. The pre-acquisition summary financial information was prepared based on the consolidated financial statements in the 2025 audit report, while the post-acquisition summary financial information simply reflects the amounts related to this transaction. Therefore, the actual statement of financial position as of September 4, the asset acquisition date, may differ depending on the results of the external auditor's audit or review.
